Specific services will be outlined in individual service agreements or proposals provided to clients.
Client Responsibilities
As a client, you agree to:

- 2 Cooperate with our team and provide timely feedback
- 3 Grant necessary access to digital assets (website, social media accounts, etc.)
- 4 Make timely payments as outlined in your service agreement
- 5 Comply with all applicable laws and regulations
- 6 Not engage in any activities that could harm our reputation or business
Payment Terms
4.1 Service Fees
All services are provided at the rates specified in your service agreement. Prices are subject to change with 30 days' notice for ongoing services.
4.2 Billing Cycle
Services are billed monthly, quarterly, or annually as specified in your agreement. Invoices are due upon receipt unless otherwise specified.
4.3 Late Payments
Payments not received within 15 days of the due date may be subject to a late fee of 1.5% per month. We reserve the right to suspend services for accounts with payments overdue by 30 days or more.

Intellectual Property
5.1 Our Intellectual Property
All materials, methodologies, strategies, and proprietary information developed by TekValley remain our intellectual property. Clients are granted a license to use deliverables for their business purposes only.
5.2 Client Materials
Clients retain ownership of all materials they provide to us. By providing materials, clients grant us a license to use them for the purpose of delivering agreed-upon services.
5.3 Deliverables
Upon full payment, clients receive ownership of final deliverables as specified in the service agreement. Preliminary materials, concepts, and strategies remain our property.
Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the engagement. This includes business strategies, financial information, client lists, and trade secrets.
Confidentiality obligations survive termination of services and continue for three years after the conclusion of our engagement.
Limitation of Liability
To the maximum extent permitted by law, TekValley Digital Marketing shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or data
- Business interruption or loss of business opportunity
Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for services in the three months preceding the claim.
Termination
8.1 By Client
Clients may terminate services with 30 days' written notice. Early termination may be subject to fees as outlined in the service agreement.
8.2 By Company
We reserve the right to terminate services immediately for:
- Non-payment of fees
- Violation of these terms
- Illegal or unethical activities by the client
- Actions that could harm our reputation
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any disputes arising from these terms shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.
Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
